Agreement to Terms

By accessing or using the ChatGPT.ca website and services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

Services Description

ChatGPT.ca provides AI consulting services including but not limited to:

• Custom GPT development and training
• AI workflow automation implementation
• Chatbot integration and deployment
• API integration services
• Prompt engineering and optimization
• AI-powered analytics solutions

Professional Services Agreement

Specific terms for consulting engagements will be detailed in individual service agreements. These agreements will outline:

• Scope of work and deliverables
• Timeline and milestones
• Pricing and payment terms
• Intellectual property rights
• Confidentiality provisions

Client Responsibilities

Clients engaging our services agree to:

• Provide accurate and complete information
• Respond to requests for information in a timely manner
• Maintain confidentiality of any provided credentials or access
• Use delivered solutions in compliance with applicable laws
• Pay invoices according to agreed terms

Intellectual Property

Unless otherwise specified in a service agreement:

• Clients retain ownership of their proprietary data and business information
• Deliverables created specifically for clients become client property upon full payment
• ChatGPT.ca retains ownership of general methodologies, templates, and tools
• Both parties respect third-party intellectual property rights

Confidentiality

We maintain strict confidentiality of client information and business data. We will not disclose confidential information except:

• With client permission
• As required by law
• To subcontractors bound by similar confidentiality obligations

Limitation of Liability

To the maximum extent permitted by law, ChatGPT.ca shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from use of our services. Our total liability shall not exceed the fees paid for the specific service in question.

No Warranties

While we strive for excellence, AI services are provided "as is" without warranties of any kind. We do not guarantee specific outcomes, ROI, or performance metrics unless explicitly stated in writing.

Payment Terms

Standard payment terms include:

• 50% deposit required to begin work
• Remaining balance due upon project completion
• Monthly retainers billed in advance
• Late payments subject to 1.5% monthly interest

Termination

Either party may terminate services with written notice. Upon termination:

• Client pays for work completed to date
• Deliverables completed are transferred to client
• Confidentiality obligations continue
• Both parties return or destroy confidential materials

Governing Law

These terms are governed by the laws of Ontario, Canada. Any disputes will be resolved in the courts of Ontario.

Changes to Terms

We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated revision date. Continued use of services constitutes acceptance of modified terms.
